Terms of Use

Koravi provides a white-label analytical platform for professional advisory firms — such as tax advisors, lawyers, accountants, and estate planners — whose clients have cross-border affairs. The Services scan information that a firm inputs about its own clients and surface findings, deadlines, and suggested next steps for the firm to review. The Services are advisor-facing tools intended to support, not replace, professional judgment.

You must be at least 18 years old and authorized to act on behalf of the advisory firm you represent. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information and to keep it current. Notify us promptly of any unauthorized use of your account.

Koravi is a software tool, not a professional advisor. The Services do not provide legal, tax, accounting, financial, or other professional advice. All findings, flags, suggestions, and outputs generated by the Services are informational and require independent review, verification, and judgment by a qualified professional. You are solely responsible for any decision or action taken based on the Services. Koravi does not communicate with, advise, or act on behalf of any end client.

You are responsible for:

• The accuracy, legality, and completeness of all data you input into the Services, including data about your clients;
• Obtaining all necessary rights, consents, and legal bases to upload and process your clients' data through the Services;
• Complying with all laws and professional obligations applicable to you and your clients, including data-protection, confidentiality, tax, and regulatory requirements;
• Reviewing and approving any output before relying on or acting upon it.

You agree not to:

• Use the Services for any unlawful, fraudulent, or unauthorized purpose;
• Upload data you do not have the right to process;
• Attempt to reverse engineer, decompile, copy, or create derivative works of the Services;
• Interfere with, disrupt, or compromise the security or integrity of the Services;
• Use the Services to build a competing product, or resell or sublicense the Services except as expressly permitted under your agreement with us;
• Access the Services through automated means except as expressly authorized.

As between you and Koravi, you retain all rights to the data you input, including your clients' data ("Your Data"). You grant Koravi a limited license to process Your Data solely to provide and improve the Services. Your Data is exportable in full at any time. Our handling of personal data is described in our Privacy Policy.

Koravi retains all rights, title, and interest in and to the Services, including all software, technology, and intellectual property. No rights are granted except as expressly set out in these Terms.

Access to the Services is provided on a subscription basis. Fees, billing cycles, and plan details are as agreed at the time of purchase. Unless otherwise stated, fees are non-refundable. We may change fees on prospective notice. You are responsible for applicable taxes.

The Services may rely on third-party providers (such as hosting, payment processing, and AI/large-language-model providers). We are not responsible for third-party services, and your use of them may be subject to their own terms.

Each party agrees to protect the other's confidential information and to use it only as necessary to perform under these Terms. Koravi operates under your brand and does not present itself to your end clients.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. KORAVI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT FINDINGS OR OUTPUTS WILL BE COMPLETE, ACCURATE, OR SUITABLE FOR ANY PARTICULAR PURPOSE. YOU REMAIN SOLELY RESPONSIBLE FOR PROFESSIONAL JUDGMENT AND COMPLIANCE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KORAVI AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES. KORAVI'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO KORAVI FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

You agree to indemnify and hold harmless Koravi and its affiliates from any claims, damages, liabilities, and expenses arising out of your use of the Services, your data, or your breach of these Terms or applicable law.

You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms or if required by law. Upon termination, your right to use the Services ends, and we will return or delete Your Data in accordance with our agreement and applicable law.

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in Delaware, except where applicable law requires otherwise.

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
